These QBIView™ Terms of Use (“QBIView™ Terms”) govern your access to and use of the QBIView™ assessment tool and any related paid services offered by Quadros Bio Advisory Inc. (“QBA,” “we,” “us,” or “our”). By submitting an assessment through QBIView™ or purchasing any QBA service, you agree to these terms in full. These QBIView™ Terms supplement and are incorporated into QBA’s Website Terms of Use (QBA-TERMS-001).
1. What QBIView™ Is — and Is Not
QBIView™ is a scientific risk intelligence tool. It provides structured, evidence-based technical analysis of agricultural biological input products for informational purposes. It is expressly not any of the following:
- Investment advice or a recommendation to invest in, divest from, or hold any position in any company or security;
- Financial advice, as defined under Canadian securities law or any other jurisdiction;
- A regulatory opinion or submission under the Pest Management Regulatory Agency (PMRA), the Environmental Protection Agency (EPA), or any other regulatory body;
- A guarantee of product performance, commercial success, or regulatory approval;
- Legal advice of any kind.
QBA assessments reflect the independent scientific and technical judgment of Quadros Bio Advisory Inc. based on information available at the time of assessment. They are one input among many that a qualified investor, operator, or advisor should consider.
2. What You Receive
Upon completion of a QBIView™ assessment and receipt of payment (where applicable), QBA will deliver:
- A structured written assessment report in digital format, summarizing QBA’s scientific and technical findings on the subject product or company;
- A probability score and supporting rationale based on QBA’s proprietary Bayesian scoring framework;
- Where applicable, regulatory pathway analysis and competitive landscape context.
Deliverable timelines are confirmed at the time of engagement. QBA does not guarantee specific outcomes or that reports will reach conclusions favourable to any party.
3. Intellectual Property — Ownership and Licence
All intellectual property underlying QBIView™ — including the Bayesian scoring methodology, framework architecture, weighting system, probability models, and all proprietary analytical processes — remains the exclusive property of Quadros Bio Advisory Inc.
Upon delivery and full payment, you receive a non-exclusive, non-transferable licence to use the specific report delivered to you for your internal business purposes only. You may not:
- Reproduce, distribute, publish, or share the report with third parties without QBA’s prior written consent;
- Use the report to represent that QBA endorses any investment decision, product, or company;
- Reverse-engineer, replicate, or attempt to reconstruct QBA’s scoring methodology from report outputs;
- Use any QBIView™ output to train, benchmark, or develop artificial intelligence or machine learning systems.
QBA retains the right to use anonymized, aggregated insights derived from assessments for internal research, methodology refinement, and quality improvement, in accordance with the QBIView™ Privacy Policy.
4. Accuracy of Information Provided
The quality and accuracy of a QBIView™ assessment depends directly on the accuracy and completeness of the information you provide. By submitting an assessment, you represent and warrant that all information provided is accurate, complete, and not misleading. QBA bears no responsibility for assessment errors arising from inaccurate, incomplete, or fraudulent information submitted by the user.
5. Payment, Refunds, and Disputes
Payment for QBIView™ services is processed securely through Stripe, Inc. All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Fees are due in full prior to or upon delivery of the assessment report, as specified in your engagement confirmation.
Refund Policy: Given the nature of professional advisory services, all fees are non-refundable once work on an assessment has commenced. If QBA is unable to complete a confirmed assessment due to QBA’s own error or incapacity, a full refund will be issued. Disputes regarding billing must be raised in writing to info@quadrosbioadvisory.com within 14 days of invoice date.
6. Confidentiality
All product and company information submitted through QBIView™ is treated as strictly confidential by QBA under the same standards applied to all paid client engagements. QBA will not disclose your submitted information to any third party without your explicit written consent, except as required by law. Confidentiality of your data is governed in full by the QBIView™ Privacy Policy (QBA-PRIV-002).
7. Limitation of Liability
To the fullest extent permitted by applicable law, QBA shall not be liable for any investment loss, business loss, loss of profit, or any indirect, consequential, or punitive damages arising from your use of, or reliance on, any QBIView™ assessment or report, regardless of whether QBA was advised of the possibility of such loss.
QBA’s total liability for any claim arising from a QBIView™ assessment shall not exceed the fees paid by you for that specific assessment.
8. QBIView™ Screen (Free Assessment)
The QBIView™ Screen is a free, automated diagnostic tool available at quadrosbioadvisory.com/risk-assessment. It provides a preliminary, indicative output based on your responses and does not constitute a full QBIView™ assessment. All of the disclaimers in Section 1 apply equally to QBIView™ Screen outputs. By submitting a QBIView™ Screen assessment, you consent to QBA contacting you to discuss your results and potential next steps.
9. Governing Law
These QBIView™ Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
