Brazilian Network Platform — Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the QBA Brazilian Network platform (“Platform”), operated by Quadros Bio Advisory Inc. (“QBA,” “we,” “us,” or “our”). By registering on or using the Platform, you agree to these Terms in full.

1. About the Platform

The QBA Brazilian Network is a curated directory and intelligence platform connecting Brazilian agricultural biological technology companies with North American investors, partners, and industry stakeholders. The Platform offers tiered subscription access, including a free internal registration tier, two paid public profile tiers, and a QBIView™-verified tier for companies that have completed a full QBA scientific assessment.

2. Eligibility and Registration

The Platform is available to the following categories of registrant:

  • Brazilian biologicals companies: Agricultural biological technology companies incorporated or operating in Brazil seeking North American market access, investment, or partnership;
  • Investors and strategics: Venture capital firms, family offices, corporate venture arms, and strategic companies seeking intelligence on Brazilian biologicals innovation;
  • Institutional members: Researchers, scientists, and representatives of Brazilian or international public research institutions, universities, industry associations (including ANPII Bio and equivalent bodies), and government agencies who register in a professional capacity to participate in the QBA Brazilian Network ecosystem. Institutional members who wish to submit data on behalf of third-party companies must confirm they have the authority to do so (see Section 3B below);
  • Advisors and intermediaries: Investment advisors, technology scouts, and cross-border facilitators operating in the Brazilian–North American biologicals corridor.

By registering, you represent that: you have the legal authority to enter into these Terms on behalf of yourself or your organisation; all registration information you provide is accurate and current; and you will maintain the accuracy of such information.

3. Special Provisions for Institutional Members

3A — Institutional registration: Researchers, scientists, and representatives of public institutions — including EMBRAPA, MAPA, Brazilian federal universities, ANPII Bio, USDA-ARS, Agriculture and Agri-Food Canada, and equivalent bodies — are warmly welcomed as Platform members in their individual professional capacity. Institutional membership enables access to Platform intelligence, participation in QBA research and events, and visibility within the QBA Expert Network ecosystem. Institutional members registering individually are not submitting their institution’s data and are not acting as official representatives of their institution on the Platform unless explicitly authorised to do so in writing by their institution.

3B — Submitting data on behalf of a third-party company or institution: Where an institutional member or representative submits profile data, company information, or other content on behalf of a third-party organisation (for example, an ANPII Bio representative submitting a member company’s profile, or an EMBRAPA researcher submitting information about a spin-off company), the submitting party represents and warrants that: (a) they have the explicit written authorisation of the organisation whose data they are submitting; (b) the submitted data is accurate and does not contain confidential institutional information that the organisation is not authorised to disclose; and (c) QBA may rely on this representation in displaying the submitted content on the Platform. QBA bears no liability for inaccurate or unauthorised data submissions by institutional representatives.

3C — Institutional Collaboration Agreement: Federal public institutions of Brazil, Canada, and the United States that wish to engage with the QBA Brazilian Network in a formal institutional capacity — including by having their researchers participate as QBA Expert Network members, co-promoting Platform content, or entering data sharing arrangements — are invited to enter a dedicated Institutional Collaboration Agreement (QBA-ICA-001), drafted by QBA at no cost to the institution and tailored to its specific legal, IP, and operational requirements. 4. Subscription Tiers and Fees

Free Tier (Internal Registration): Basic registration, access to aggregated market intelligence, and eligibility for QBA outreach. No public directory listing.

Paid Tier 1 (Public Profile — Standard): Public-facing company profile in the QBA Brazilian Network directory, visible to North American subscribers.

Paid Tier 2 (Public Profile — Enhanced): All Tier 1 features plus enhanced profile visibility, QBA editorial highlights, and priority consideration for QBIView™ assessment referrals.

QBIView™ Verified (Top Tier): Reserved for companies that have completed and passed a full QBIView™ scientific assessment by QBA. The QBIView™ Verified badge represents QBA’s independent scientific endorsement of the company’s technology readiness, not a guarantee of commercial success or regulatory approval. Subject to QBIView™ Terms of Use (QBA-TERMS-002).

Fees are quoted in Canadian dollars (CAD) unless otherwise specified. Payment is processed through Stripe, Inc. Subscriptions renew automatically unless cancelled before the renewal date. Refunds for annual subscriptions are available on a pro-rata basis within 30 days of purchase.

5. Content Standards and Profile Guidelines

All profile content submitted must be: accurate, truthful, and not misleading; free of unsubstantiated scientific claims; compliant with applicable advertising and marketing regulations in Canada, the United States, and Brazil; and free of content that infringes third-party intellectual property rights. QBA reserves the right to review, edit, or remove any profile content that does not meet these standards, without refund obligation.

Companies and institutional members may not use Platform profiles to make investment solicitations, securities offerings, or claims that constitute regulated financial communications without appropriate regulatory disclosure.

6. Not Investment Advice

The QBA Brazilian Network platform is an information and intelligence service only. Company profiles, QBIView™ Verified badges, QBA editorial content, and all other Platform content do not constitute investment advice, a securities recommendation, or an endorsement of any investment decision. The QBIView™ Verified badge reflects QBA’s independent scientific assessment of a product’s technical readiness only.

7. Intellectual Property

All Platform content produced by QBA — including editorial analysis, scoring outputs, market intelligence, and the QBIView™ Verified designation — is the exclusive intellectual property of Quadros Bio Advisory Inc. Company and institutional subscribers retain ownership of their own profile content and grant QBA a non-exclusive licence to display such content on the Platform for the duration of their subscription.

8. Termination and Suspension

QBA may suspend or terminate any account that: provides false or misleading information; violates these Terms; engages in conduct harmful to other Platform users or QBA’s reputation; or fails to maintain subscription payments. Users may cancel at any time through their account settings. Public profile listings will be removed at the end of the current billing period upon cancellation.

9. Limitation of Liability

To the fullest extent permitted by law, QBA shall not be liable for any direct, indirect, incidental, or consequential damages arising from use of the Platform. QBA’s total liability to any Platform user shall not exceed the subscription fees paid by that user in the 12 months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes are subject to the exclusive jurisdiction of the courts of Ontario, Canada. QBA acknowledges that Brazilian company subscribers may also have rights under Brazilian consumer protection law (Código de Defesa do Consumidor) and data protection law (LGPD); nothing in these Terms is intended to limit rights that cannot be waived under mandatory applicable law.
